Article I: Name, Colors, Purpose, and Seal

Section 1. Name:

The name of the Association shall be the Wyoming Senior Golfers' Association, (W.S.G.A.)


Section 2. Colors:

The colors of the Association shall be Brown and Gold.


Section 3. Purpose:

The W. S. G. A. is a non-profit organization for the primary purpose of providing congeniality and fellowship by sponsoring annual golf tournaments at locations designated by the members and/or Board of Governors.


Section 4. Seal:

The Corporate Seal of the W.S.G.A. shall consist of a circular disk imprinted upon paper with name Wyoming Senior Golfers' Association "Wyoming" in the outer circle and "Corporate Seal" in the inner circle.

Article II: Membership

Section 1. Clarification:

Memberships in the Association are classified as follows:


Full Membership

Anyone who has paid dues in the amount as specified by the Board of Governors on or before May l of each year preceding the tournament.


New Membership

Any male player who 50 years of age, on or before, July 31st of the tournament year, who has submitted a formal application to the Association's Secretary/Treasurer and has paid an annual fee in the amount specified by the Board of Governors.

Article III: Governors

Section 1. Board of Governors:

The control and management of the Association and its affairs and properties shall be entrusted to the Board of Governors which shall consist of not less than fifteen (15) nor more than twenty-five (25) members in good standing.


Section 2. Election and Tenure:

Commencing with the meeting of the Board of Governors at Jackson, Wyoming on August 1 ", 1982, the election and tenure of the members of the Board shall be a vote of the Board. Their term of office shall be for three (3) years and they shall hold office until their term expires or until their successor is elected.


Section 3. Districts:

The districts shall be composed of the following counties:


District No. 1. shall be comprised of Campbell, Cook. Johnson, Sheridan, and Weston counties and shall have three (3) Governors


District No. 2. shall be comprised of Albany, Goshen. Laramie, and Platte counties and shall have three (3) Governors


District No. 3. shall be comprised of Converse, Natrona, and Niobrara counties and shall have three (3) Governors


District No. 4. shall be comprised of Big Horn, Park, and Washakie counties and shall have three (3) Governors


District No. 5. shall be comprised of Fremont and Hot Springs counties, and shall have three (3) Governors


District No. 6. shall be comprised of Carbon, Sweetwater, and Unita counties and shall have three (3) Governors


District No. 7. shall be comprised of Lincoln, Sublette, and Teton counties and shall have three (3) Governors


Section 4. Vacancies:

A vacancy in the Board caused by resignation or inability of a to act, or whose tern has expired, shall be filled by the remaining members of the Board, selecting another member from the District of the person who has resigned or is unable to fulfill his duties and obligations, and that person shall hold office for the remainder of the term of the member whose place he is appointed to fill and until his successor is elected by the Board of Governors.

· To elect officers of the Association for a two (2) year period, excluding the Secretary/Treasurer.

· To fill any vacancy that may occur in any office or in the membership of the Board.


Section 5. Removal:

A Governor or Officer of this Association may be removed by a 2/3 vote at any special meeting called therefore for exceeding his powers granted by these By-laws, or for

· Bad faith on matters pertaining to the financial status of the Association or

· Conduct detrimental to the best interests of the Association.


Section 6. Ex-Officio Member:

The immediate Past Chairman shall be an Ex- Officio member of the Board and shall conduct the first meeting of the newly elected Board.


Section 7. Rules:

On all matters not specifically covered herein, Roberts' Rules of Order shall govern the proceedings of all meetings.

Article IV: Officer

Section 1. Officers:

The Officers of the Association shall be the Chairman, Vice Chairman, and Secretary/Treasurer

Chairman and Vice Chairman shall be elected at the First meeting of the Board of Governors following the election of the board.

The officers shall hold offices for two (2) years or until their successors are elected and qualified.

The Secretary/Treasurer shall be elected at the first meeting of the Board of Governors and shall hold elected position as permanent Secretary/Treasurer of the Wyoming Senior Golfers' Association at the pleasure of the Board.


Section 2. Duties of Officers:

Chairman

The Chairman shall preside at all meetings of the Association and the Board of Governors and shall have general supervision over the affairs of the Association. He may appoint committees as he shall deem advisable.

Vice-Chairman

The Vice Chairman shall perform the duties of the Chairman in his absence.

Article V: Resignation

Section 1. Resignations and Withdrawal:

The resignation of any member shall become effective upon the receipt of notice to the Chairman or the Secretary/Treasurer.


Section 2. Effective Date:

Resignation shall not take effect before the end of the month in which notice has been received.

Any member guilty of any misconduct or conduct injurious and prejudicial to the Association or who shall violate the By-Laws or Association Rules, may be expelled, or suspended from the Association by the affirmative vote of not less than ten (10) members of the Board.


Section 3. Notification:

Before any member can be suspended or expelled, 15 days’ notice in writing must be given that such action will be considered.by the Board at a time and place mentioned in said notice .and said notice shall be personally delivered to such member if applicable. In the event that personal delivery of said notice is impracticable, the notice may be directed to the member's last known address as shown on the Association records, by certified mail return receipt requested. Such member shall be given an opportunity to appear before the board at the time and place mentioned in said notice ifhe so desires.

Article VI: Committees

Section 1. Committees:

The Chairman shall appoint such Committees as he shall deem necessary for the better execution of the Association activities and duties.

The Chairman may from time to time at his discretion, or upon request of the majority of the Board present at any meeting. appoint a special committee for a special purpose.

Article VII: Tournament Committee

Section 1. Officers:

The officers of the Tournament Committee shall be President and Secretary/Treasurer.

Said officers shall be appointed by the District Governors from the Town or city that sponsors the Association Golf Tournament, with the approval of the board of Governors.


Section 2. Duties of Officers:

President: The President shall organize and have complete responsibility for the golf tournament, including payment of debts incurred therewith.


Secretary/Treasurer: The Secretary/Treasurer shall keep a record of all tournament fees and other monies collected.

Pay all debts at the direction of the President.

Coordinate closely with the Association's Secretary/Treasurer on memberships that are paid up.

Prepare a budget and a financial report in accordance with the guidelines established by the Association's Secretary/Treasurer

The budget shall be submitted for approval no later than May 1 and financial report no later than October 1.


Section 3. Tournament Format

Flights for tournament play will be designated as follows:

Ages

50 - 56 Freshmen

57 - 63 Sophomores

64 - 70 Juniors

71 - 77 Seniors

78 + Senior-Seniors


Section 4. GHIN#:

To be eligible for the annual tournament:

Each member must have a handicap reflected by an active USGA# showing no less than five (5) posted scores for the current calendar year:

a. Must join association. Player my request special exemption with approval from the tournament committee and approval from active Chairperson of association.

a. Must be of the age of 50 tournament date

b. Must pay current association dues

c. Must pay current tournament fees


Section 5. Dornan Trophy:

The Dornan Trophy is to be awarded to the low gross golfer, age 75 or over.


Section 6. Meeting of the Board:

The Chairman shall call all meetings of the Board. The regular meeting of the board will be a dinner meeting held the evening of the day preceding the first day of the golf tournament and all business will be conducted at that meeting.

Special Meetings of the Board may be called at the request of the Chairman or any ten (10) members of the Board upon at least fifteen (15) days’ notice. Notice of special meetings shall be given in a like manner as notices of annual meetings.


Section 6. Quorum:

A majority vote of the Board shall constitute a quorum with each member having one (1) vote.


Section 7. Duties and Powers:

In addition to and not in restriction or limitation of the usual powers of the like bodies, not be limited to the powers granted in Sec. I.

To admit members and to reprimand, suspend, and expel members.

To pass upon conditions under which any member mayor may not participate in any Association event or other privileges incident to the Association.

To make other such rules and regulations, not inconsistent with these By-laws that they deem necessary, and to fix and remit penalties for the violations of the By-laws and Rules.

Article VIII: Salaries

Section I. Salary/Wages:

No officer or member of the Board shall receive any salary from the Association except the Association Secretary /Treasurer, and he shall receive a salary as determined by the Board.

Article IX: Amendments

Section 1. Amendments:

These By-Laws may be amended or altered at any regular or special meeting of the Board of Governors by a majority vote of a quorum present.


Section 2. Notice:

At least fifteen (15) days written notice of any special or regular meeting at which a proposed amendment is to be voted upon shall be given by the Secretary/Treasurer of the Association to all members of the Board of Governors. The notice shall specify the time of the meeting and the proposed amendment or amendments to be voted upon.
